Terms of use

The rules for using this site.

These terms govern the Northbeam Consultancy website and any enquiry you send through it. They are written for Indian law. A signed statement of work, if we take an engagement, sits on top of them.

1. The agreement

These Terms of Use (“Terms”) are a contract between you and Northbeam Consultancy (“Northbeam”, “we”, “us”) for access to this website and for any message you send through it.

By browsing the site or submitting the contact form, you accept these Terms. If you do not accept them, do not use the site.

If you use the site for an organisation, you confirm you have authority to bind that organisation. “You” then includes that organisation.

These Terms are intended to be an electronic contract under the Information Technology Act, 2000, including Section 10A (validity of contracts formed through electronic means), and under the Indian Contract Act, 1872.

2. Website and engagements are different

There are two layers. Do not mix them up.

  • This website. Public pages about the practice, selected work, and a form to start a conversation. These Terms and the Privacy Notice apply.
  • An engagement. Paid professional work starts only when both sides sign a statement of work, proposal, or engagement letter (together, an “SOW”). The SOW names the parties, scope, fees, and any extra confidentiality or data terms. If an SOW and these Terms conflict on the engagement, the SOW wins.

Reading this site, booking a call, or sending a form is not an offer we have accepted, not a retainer, and not a promise that we will take the work. We may decline.

3. Using this website

We grant you a limited, revocable, non-exclusive, non-transferable licence to view the site for your own information or for a genuine enquiry about our services. You may not copy the site as a product, scrape it at scale, frame it, or present it as yours.

We may change, suspend, or stop any part of the site without notice. We do not promise uninterrupted access.

The site is aimed at adult operators and organisations. You must be at least 18 to send an enquiry.

4. Enquiries

The contact form asks for a name, email, optional company, and a message. You must send information that is accurate so far as you know, and that you are allowed to send.

We aim to reply within two business days. A reply is not an engagement. Anything we say before an SOW is exploratory and not a professional opinion you should rely on as advice.

How we handle the personal data in an enquiry is set out in the Privacy Notice.

5. Professional work

Northbeam provides applied AI consultancy: diagnosis, system design, and production build, as described on the services pages. Unless an SOW says otherwise:

  • work is professional services, not a software licence sale;
  • we do not become your employee or an outsourced IT desk;
  • we do not take over a licensed or regulated function (for example, medical, legal, or financial advice) that your people must own;
  • fees, expenses, change control, and acceptance are only in the SOW;
  • we may refuse work that is a demo for its own sake, has no owner, or we cannot do well.

Case studies on this site are selected past work. They are not a guarantee of the same result for you. Names and figures may be anonymised or rounded.

6. Intellectual property

The site — text, layout, marks, and graphics — is owned by Northbeam or its licensors. Northbeam, Northbeam Consultancy, and the wordmark are our marks. You get no licence except the viewing licence in section 3.

You keep what you already own. Materials you send in an enquiry stay yours. You grant us a limited right to use them only to understand the request and reply.

Deliverables, pre-existing tools, methods, and models used in an engagement are dealt with in the SOW. If the SOW is silent, Northbeam keeps its pre-existing methods and generic tools; you receive the deliverables the SOW says we will hand over, for your internal use.

7. Confidentiality

Treat non-public information you learn about our practice from conversations as confidential, and we will do the same with non-public information you mark or that is obviously confidential.

That does not cover information that is public, that we already had, that we receive independently from someone allowed to give it, or that we must disclose by law.

A mutual NDA or the SOW will replace this section for an engagement if one is signed.

8. AI systems

We design and build systems that may use machine-learning models, including third-party models. Unless an SOW says otherwise:

  • model output can be wrong, incomplete, or outdated — it is not a substitute for a responsible human on the expensive decision;
  • you remain accountable for how your organisation uses any system we leave with you;
  • we do not warrant that a model will stay available, priced, or behaved as it is on the day we demo it;
  • we do not use your enquiry text to train a public foundation model.

9. Acceptable use

You may not use the site or the form to do anything unlawful, or to send information that you know is:

  • defamatory, obscene, or harassing;
  • an invasion of another person’s bodily privacy;
  • infringing of intellectual property or confidential information;
  • patently false and presented as fact, or sent to cause injury or wrongful gain;
  • malware, or an attempt to probe, overload, or break the site;
  • a child’s personal data, or someone else’s personal data without authority.

Those restrictions follow the kinds of content Indian intermediaries are required to prohibit under the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, as amended. This site is a consultancy brochure with a private form, not a public posting platform. We still will not carry that material.

We may refuse, delete, or not reply to a message that breaks this section, and we may report it if the law requires.

10. Third-party sites

The site may link to other sites. Those sites have their own terms. We are not responsible for them.

11. Disclaimers

The website is provided on an “as is” and “as available” basis. To the fullest extent permitted by Indian law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement for the public website.

Nothing on the site is legal, medical, financial, or investment advice. Descriptions of services are invitations to talk, not offers capable of immediate acceptance.

Warranties for an engagement, if any, appear only in the SOW.

These disclaimers do not affect rights you cannot waive. If you are a “consumer” under the Consumer Protection Act, 2019, unfair contract terms and statutory consumer rights continue to apply.

12. Liability

We do not exclude or limit liability that Indian law does not allow us to exclude: fraud, wilful misconduct, or death or personal injury caused by negligence, and any other liability that cannot be limited.

Subject to that, and only to the extent permitted by law:

  • we are not liable for indirect, incidental, special, consequential, or punitive loss, or for lost profit, revenue, data, or goodwill, arising from use of this website;
  • our total liability arising from the website or an enquiry (not from a signed SOW) is limited to two thousand Indian rupees (₹2,000);
  • liability for a signed engagement is only as the SOW states.

You use the public website at your own operational risk. Do not make a production decision solely on a page or an exploratory call.

13. Indemnity

You will indemnify Northbeam against claims, losses, and reasonable legal costs arising from your misuse of the site, from content you submit that you were not allowed to send, or from your breach of these Terms, except to the extent caused by our fraud or wilful misconduct.

14. Electronic records

Notices, acceptances, and records under these Terms may be electronic. You agree that electronic records and digital communications satisfy any legal requirement that something be in writing, to the extent the Information Technology Act, 2000 allows.

We may keep logs of form submissions as described in the Privacy Notice.

15. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules.

Talk to us first. Most website issues can be closed through the contact form.

If that fails, courts of competent jurisdiction in India shall have jurisdiction, subject to any mandatory forum a consumer protection statute gives you. An SOW may name a specific city or an arbitration seat for the engagement. That choice does not rewrite these website Terms unless it says it does.

Privacy grievances follow the process in the Privacy Notice and, after that, the Data Protection Board of India. They are not forced into a private forum that would take away a statutory right.

16. Changes

We may update these Terms. The date at the top is the effective date of this version. Continued use of the site after a change means you accept the new Terms for that further use. It does not rewrite a signed SOW.

If a court finds a clause unenforceable, the rest stays in force. We may replace the bad clause with a valid one that comes closest to the original point.

A failure to enforce a right once is not a waiver of that right.
